1. Representation and Acceptance of Terms

If you are engaging in our services on behalf of a company, you confirm that you are duly authorized to represent the company and accept the terms and conditions of this Agreement on behalf of the company. By accepting these terms, a legally binding contract is established between 4 Months Of Depression & Unicorn Marketing ApS (Kings League) (referred to as “4 Months Of Depression & Unicorn Marketing ApS (Kings League)” or “we”) and your company (referred to as the “Client”) in accordance with the terms of this Agreement. You agree not to engage in any activities that violate the terms of this Agreement.

If you are accepting this Agreement on behalf of your company, the term “Client” refers to your company, including all its employees. If you are accepting this Agreement individually or if you lack the authority to represent the company, you personally agree to be bound by the terms of this Agreement, and the term “Client” refers to you.

2. Termination of Agreement

Either 4 Months Of Depression & Unicorn Marketing ApS (Kings League) or the Client may terminate this Agreement at any time by providing written notice. Upon termination, the following conditions apply:

• The Client may retrieve a copy of the data hosted by 4 Months Of Depression & Unicorn Marketing ApS (Kings League).
• The Client must cease all use of any provided software, except for data retrieval.
• 4 Months Of Depression & Unicorn Marketing ApS (Kings League) may disable sections of the software/service for which the Client’s rights have expired or which have been terminated.

This Agreement will remain in force for one year, renewable in one-year increments unless canceled by either party. Cancellation requests must be submitted in writing at least 30 days before the agreement’s expiration date.

3. Software User Management Rights

During the term of this Agreement, 4 Months Of Depression & Unicorn Marketing ApS (Kings League) grants the Client a limited, non-exclusive, and non-transferable right to access and use its trademarked software products and corresponding documentation for the Client’s internal business use only. The software is made available as a secure, hosted service. The Client may not lease, distribute, rent, or resell the software, create competitive solutions based on the software, or remove or modify any logos, trademarks, confidentiality, or other designations within the software.

4. Pricing Proposal

Pricing for 4 Months Of Depression & Unicorn Marketing ApS (Kings League) services is offered in monthly or annual increments determined by the Client. The Client shall adhere to the pricing arrangements agreed upon. Payment is due upon receipt of the invoice. Failure to make timely payment may result in the temporary suspension of the Client’s account. Payment can be made via corporate credit card or by check. 4 Months Of Depression & Unicorn Marketing ApS (Kings League) may cancel or process a refund for any unused portion of the service upon request.

5. Intellectual Property

The client retains all rights to data collected for its brand marketing under the brand name. 4 Months Of Depression & Unicorn Marketing ApS (Kings League) retains all rights to the software, documentation, adaptations, and software upgrades, as well as performance data collected for business purposes, as long as the data does not reveal the Client’s identity or personal candidate information.

6. Limitation of Liability

This Agreement represents the entire agreement between the parties. Any actions brought to enforce this Agreement will be governed by the laws.
